International Livestock Representation Agreement

This Agreement outlines the terms and conditions governing membership and representation within Bos Sires LLC.

By submitting the Bos Sires Membership Application and checking the acknowledgment box confirming review and acceptance of this Agreement, the applicant agrees to be bound by all terms contained herein. No physical signature is required.

A. Purpose

This Agreement establishes a formal partnership between Bos Sires LLC and breeders who align with Bos Sires’ mission: to restore fertility-focused, low-input, sustainable cattle genetics to the global livestock industry.

Please review the membership types:

  • Active Breeder – Domestic Only ($1,000/year): Semen and cattle marketed only within the breeder’s home country

  • Active Breeder – International Representation ($1,500/year): Semen and cattle marketed internationally

  • Active Breeder – Located in Developing Country ($500/year): Semen marketed domestically and internationally if available.

  • Genetic Partner ($300/year): Uses Bos Sires genetics or aligned genetics; cattle marketed within the breeder’s home country and internationally.

  • Genetic Partner – Located in Developing Country ($150/year): Uses Bos Sires genetics or aligned genetics; cattle marketed within the breeder’s home country and internationally.

  • Legacy Breeder (No Fee): For breeders with a proven, long-term contribution to functional, fertile, low-input cattle and a demonstrated history of national industry advocacy aligned with the Bos Sires mission. (Awarded at the discretion of Bos Sires.)

Membership fees will be used for country-specific cattle promotion events, such as booths at local cattle conventions and educational outreach. They also help cover travel expenses for Bos Sires representatives and breeders attending or participating in international livestock exhibitions, trade shows, or meetings aimed at opening new markets.

C. Marketing and Sales Structure

Domestic Semen Sales (Handled by Bos Sires):

Domestic Semen Sales

For domestic semen sales handled by Bos Sires:

  • The breeder sets the listed domestic retail price.
    The breeder receives 70% of the listed price per straw.
    A standard 30% commission applies, allocated as follows:
    5% to Bos Sires HQ

  • 2.5% to the Country Representative
    Up to 22.5% to the Domestic Distributor

  • For volume-based domestic orders, Bos Sires may reduce the Domestic Distributor portion as part of a discount schedule. Any such reduction does not decrease the breeder’s 70% net proceeds.

International Semen Sales (Base Pricing):

  • Breeder receiving $20

  • Bos Sires retaining $5

International Distributor Commission (Retail Pricing):

  • Orders of fewer than 50 straws: $13 per straw (final retail price $38)

  • Orders of 50–99 straws: $8 per straw (final retail price $33)

  • Orders of 100 or more straws: $5 per straw (final retail price $30)

Retail pricing reflects semen and distributor commission only. Shipping, export, and logistics costs are billed separately and are not included in per-straw retail pricing.

Semen Shipping & Export Logistics:

Once a distributor’s order is finalized and total semen quantities are confirmed, Bos Sires coordinates all required export, shipping, and import logistics. Because these costs vary based on shipment size, country of origin, and destination, they cannot be pre-priced.

Bos Sires will issue two separate invoices to the distributor. The first invoice covers the retail price of the semen. Once logistics arrangements are confirmed, a second invoice is issued for shipping, export, and import costs.

The distributor is responsible for allocating these logistics costs among their clients as needed. Bos Sires coordinates shipments with the goal of keeping final costs as affordable as possible for end clients.

Live Animal Sales:

  • Domestic Live Animal Sales (livestock remains in country of origin):
    A 10% commission applies to all live animals brokered by Bos Sires and its network within the breeder’s home country.

  • International Live Animal Sales (livestock leaves country of origin):
    A 20% commission applies to all live animals brokered internationally by Bos Sires and its network. This commission covers the brokerage and sale facilitation only. Any additional costs related to international shipping or logistics coordination are separate and will be billed independently.

D. Exclusivity

  • Exclusivity does not apply to domestic semen sales. Breeders may sell domestic semen through any channel they choose, and Bos Sires will only apply commission to sales it directly handles. However, any private domestic semen sales must use the same retail pricing that the breeder has provided to Bos Sires for listing, to ensure consistent pricing across all markets.

  • Bos Sires LLC has exclusive rights to market and sell semen from nominated bulls internationally. 

  • Exclusivity applies only to business covered by this Agreement. Pre-existing agreements entered into by the Breeder prior to signing are excluded, and Bos Sires LLC will not claim commissions or involvement in those arrangements. All such agreements must be disclosed in writing at the time of signing.

E. Responsibilities of Bos Sires LLC

  • Promote and represent the breeder’s program through active outreach, industry relationships, and international representation, where applicable.

  • Handle customer inquiries, sales coordination, and logistics for semen and animals where Bos Sires is directly involved

  • Remit payment to the breeder within 30 days of receiving funds

  • Provide breeder with available buyer information related to completed transactions

F. Responsibilities of the Breeder

  • Nominate bulls for marketing and specify if domestic, international, or both

  • Provide accurate bull data, pedigree, photos, and pricing

  • Notify Bos Sires of inventory levels

  • Use genetics aligned with Bos Sires’ mission

  • Breeder agrees to complete, to the best of their ability, the New Member Questionnaire provided by Bos Sires LLC

  • Acknowledge that Bos Sires’ ability to market and promote animals is dependent upon, and limited to, the information, images, and materials supplied by the breeder.

  • If the breeder opts for Bos Sires to handle domestic or international retail semen sales, the breeder agrees to maintain a pre-released allocation of 100 straws per bull to Bos Sires at the current storage facility. Semen remains in the breeder’s account until sold. Bos Sires will notify the breeder when inventory runs low, and the breeder agrees to replenish the allocation as needed to ensure prompt fulfillment and invoicing.

G. Term and Termination

  • Agreement is valid for one year and renewable annually

  • Either party may terminate with written notice

  • Agreement terminates automatically if Bos Sires changes ownership

  • Breeder may be removed if misaligned with Bos Sires’ mission or found to provide false information

H. Legal and General Provisions

  • Bos Sires holds full responsibility for claims related to its own marketing

  • Breeder shall not be held liable for Bos Sires’ marketing representations

  • Amendments must be in writing and signed by both parties
