International Representative Agreement

This Agreement sets forth the terms and conditions governing participation as an International Representative of Bos Sires LLC.

By accessing this Agreement and submitting the Bos Sires International Representative Questionnaire with the required acknowledgment box checked, the Representative agrees to be bound by all terms herein. No physical signature is required.

A. Representative Responsibilities

The Representative is responsible for:

• Recruiting like-minded breeders who align with the Bos Sires philosophy

• Engaging with agricultural departments to promote sustainable cattle genetics

• Managing distribution of Bos Sires genetics within their assigned territory

B. Non-Exclusivity & Territory Coordination

• This is a non-exclusive agreement. The Representative may engage in other livestock genetic business activities outside of Bos Sires.

• If a new Representative is proposed for a country already served, existing Representatives must approve.

• If approved, representative commissions earned will be split equally, unless a different agreement is made in writing.

C. Distribution Options

Each Representative is responsible for ensuring that Bos Sires has an established distribution point within their country. To satisfy this requirement, the Representative may choose one of the following options:

1. Act as the Distributor
   The Representative may serve as the distributor within their country and, in doing so, will receive both the applicable Representative commission and the Distributor commission on all qualifying sales.

2. Appoint a Domestic Distributor
   The Representative may appoint a third-party domestic distributor within their country. In this scenario, the Representative will receive only the Representative commission and will not receive any portion of the Distributor commission.

D. Annual Membership Fee Structure

All breeders joining Bos Sires under the Representative’s region pay a membership fee depending on the type:

• Active Breeder – Domestic Only ($1,000/year): Semen and cattle marketed only within the breeder’s home country

• Active Breeder – International Representation ($1,500/year): Semen and cattle marketed internationally

• Active Breeder – Located in Developing Country ($500/year): Semen marketed domestically and internationally if available.

• Genetic Partner ($300/year): Uses Bos Sires genetics or aligned genetics; cattle marketed within the breeder’s home country and internationally.

• Genetic Partner – Located in Developing Country ($150/year): Uses Bos Sires genetics or aligned genetics; cattle marketed within the breeder’s home country and internationally.

• Legacy Breeder (No Fee): For breeders with a proven, long-term contribution to functional, fertile, low-input cattle and a demonstrated history of national industry advocacy aligned with the Bos Sires mission. (Awarded at the discretion of Bos Sires.)

Fee Allocation:

• 50% of all membership fees stay in the Representative’s country to be used for local promotional activities (e.g., booths, advertising, events)

• 50% goes to Bos Sires HQ, used to support global marketing, breeder visibility, and market expansion

E. Commission Structure

International Semen Sales

• Breeder: $20 per straw 

• Bos Sires HQ: $3

• Representative in Country of Origin: $1

• Representative in Country of Destination: $1

• Distributor Commissions (within buyer’s country):

• Orders of 1–49 straws: $13/straw

• Orders of 50–99 straws: $8/straw

• Orders of 100+ straws: $5/straw

• Final Retail Pricing:

  1–49 straws: $38

• 50–99 straws: $33

• 100+ straws: $30

• Live Animal Sales (International)

• Distributor: 10%

• Representative in Country of Origin: 2%

• Representative in Country of Destination: 2%

• Bos Sires HQ: 6%

• Live Animal Sales (Domestic)

  Distributor: 6%

• Representative in Country of Origin: 1%

• Bos Sires HQ: 3%

• Note: If quantity discounts are required to secure a sale, the reduction will be applied to the Distributor’s commission.

• F. Domestic Semen Sales 

• For domestic semen sales handled by Bos Sires:

• The breeder sets the listed domestic retail price.

• The breeder receives 70% of the listed price per straw.

• A standard 30% commission applies, allocated as follows:

• 5% to Bos Sires HQ

• 2.5% to the Country Representative

• Up to 22.5% to the Domestic Distributor

• For volume-based domestic orders, Bos Sires may reduce the Domestic Distributor portion as part of a discount schedule. Any such reduction does not decrease the breeder’s 70% net proceeds.

G. Term and Termination

This agreement is valid for one (1) year from the date signed and renews automatically each year unless terminated.

Termination conditions:

• Mutual Agreement: Either party may terminate this agreement at any time with mutual written consent

• Ownership Change: Agreement terminates automatically if Bos Sires LLC changes ownership

• Inactivity: Bos Sires HQ reserves the right to terminate this agreement if the Representative is found to be inactive, meaning they are not recruiting breeders, engaging in marketing efforts, or facilitating sales over a prolonged period.

H. Legal and General Terms

• Bos Sires HQ assumes all responsibility for its own marketing claims and representations

• The Representative is not liable for promotional content created by Bos Sires

• The Representative agrees to indemnify and hold harmless Bos Sires LLC from any claims, liabilities, or damages arising from the Representative’s own actions or misrepresentations under this Agreement
